COMPLIANCE CALENDAR FOR PRIVATE LIMITED COMPANIES

Private Company as defined under 2(68) of the Companies Act, 2013 means a company having a minimum paid-up share capital as may be prescribed, and which by its articles, restricts the right to transfer its shares; except in the case of One Person Company, limits the number of its members to two hundred and prohibits any invitation to the public to subscribe for any securities of the company.

All the Companies are obligated to do yearly, timely and eventual compliance under the Companies Act, 2013 with their respective Registrar of Companies (ROC). However, Private Companies are given many exemptions under the Companies Act, 2013.

Non-adherence to compliance within prescribed due dates leads to penal actions and hence it is a must for all Companies to comply and be well-versed with all the applicable provisions of the Companies Act 2013. To facilitate the same below is a compliance calendar for Private Limited Companies:

1. INC- 20A Declaration of commencement of business A declaration from the directors of the Company that the subscribers of the MOA have remitted the subscription money. Within 180 days from the date of incorporation.
2. Board Meetings At least 4 Board Meetings in a financial year, maximum gap between two meetings should not be more the 120 days. However, a One Person Company, small company, dormant company and a private company registered as start-up can do at least 1 Board Meeting in every six calendar months and the gap between two meetings should not be less than 90 days.
3. MBP-1 and DIR-8 (Disclosure of interest and non-disqualification) All the Directors need to give annual disclosures in Form MBP-1 to the Company about their directorship and interests in First Board Meeting of the Financial Year and if there is any change during the year at the Board Meeting immediately held after such change.   All the Directors of the Company are required to provide DIR-8 declaring that they have not incurred disqualification under section 164(2) of the Companies Act, 2013.
4. DPT-3 Return of Deposits Return of deposit or particulars of transaction not considered as deposit or both as on March 31 on or before June 30. This return is to be certified by the Statutory Auditor of the Company.
5. Annual General Meeting (AGM) One Annual General Meeting is to be held in a year. Last due date of holding AGM is 30th September every year (within six months after closure of financial year i. e. 31st March)
6. DIR-3 KYC Directors’ KYC by every DIN holder on or before 30th September every year
7. AOC-4 Annual Accounts and Annual Reports Filing of annual report (includes, notice of the annual general meeting, board’s report, auditors report, financial statements and notes/schedules to accounts) within 30 days from the date of the annual general meeting.
8. MGT-7/7A Annual Return Every company shall place a copy of the annual return on the website of the company, if any, and the weblink of such annual return shall be disclosed in the Board’s report. Annual Return to be filed within 60 days from the date of the annual general meeting.
9. ADT-1 Appointment of auditor Within 15 days of the date of appointment of an auditor or within 30 days from incorporation in case of first auditor.
10. MGT-14 Filing of Resolutions and agreements with the Registrar Filing of Resolutions and agreements with the Registrar within 30 days of the passing such resolution/entering into an agreement.
11. MSME-1 Return of outstanding payments to Micro or Small Enterprise Form for furnishing half yearly return with the registrar in respect of outstanding payments to Micro or Small Enterprises. To be filed half yearly by 30th April (for October to March) & 31st October (for April to September) each year.
12. DIR-12 Particulars of appointment of Directors and the key managerial personnel and the changes among them Any appointment/resignation/change in directors and KMP should be reported to ROC in form DIR-12 within 30 days from the date of such event.
